Mitari Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Mitari website, applications, APIs, GitHub app, code review tools, automated pull request tools, and related services (collectively, the "Services") provided by Mitari ("Mitari," "we," "us," or "our").
By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of a company or other entity, you represent and warrant that you have authority to bind that entity to these Terms, and "you" includes that entity.
If you do not agree to these Terms, do not access or use the Services.

2. The Services
Mitari provides software and AI-assisted tools designed to analyze codebases, review code changes, generate comments, suggest fixes, propose patches, and in some cases automatically create or propose pull requests or other code modifications.
The Services may include, without limitation:
- code review comments and findings,
- suggested fixes,
- automatically generated code changes,
- pull requests,
- model- or rule-based recommendations,
- workflow integrations, and
- related analysis or documentation.
The Services are intended to assist software development and review workflows. They are not a substitute for independent engineering judgment, security review, testing, legal review, or other professional review appropriate to your use case.
3. Your Responsibility for Inputs, Outputs, and Deployment
You are solely responsible for:
- the repositories, code, data, configurations, prompts, credentials, and other materials you provide to the Services ("Inputs");
- all outputs generated by the Services, including comments, findings, recommendations, patches, pull requests, code changes, and other generated materials ("Outputs");
- reviewing, validating, testing, approving, and monitoring all Outputs before use;
- determining whether any Output is appropriate for your systems, repositories, infrastructure, models, products, users, and compliance obligations; and
- any decision to merge, deploy, execute, publish, distribute, or otherwise rely on any Output.
Without limiting the foregoing, you acknowledge and agree that:
(a) Mitari may generate incorrect, incomplete, insecure, non-performant, non-compliant, or non-infringing-seeming Outputs;
(b) Outputs may introduce bugs, regressions, security vulnerabilities, privacy issues, data leakage, model failures, infrastructure issues, licensing issues, or other defects;
(c) any auto-generated pull request, code suggestion, or patch must be treated as a draft requiring human review and testing; and
(d) you bear all risk of accepting, merging, deploying, executing, or relying on any Output.
You must not treat any Output as production-ready solely because it was generated, recommended, scored, or surfaced by the Services.
Human Review Required. Outputs, including findings, recommendations, code changes, comments, patches, automated pull requests, API outputs, and Observability or Fathom outputs, are generated for review purposes only. No Output will be deemed approved, accepted, production-ready, secure, compliant, or suitable for deployment unless and until you independently review, test, and approve it through your own processes. You are solely responsible for all repository changes made through your GitHub account, CI/CD systems, maintainer approvals, branch protections, merge rules, and deployment pipelines, including any changes resulting from automated pull requests, suggested edits, or other Outputs that you, your collaborators, or your automated systems accept, merge, deploy, or otherwise rely on.
4. No Professional Advice; No Guarantee of Correctness
The Services provide automated suggestions and analysis only. Mitari does not provide legal advice, security certification, audit opinions, compliance guarantees, or engineering sign-off.
Mitari does not guarantee that the Services will:
- identify all defects, vulnerabilities, or issues,
- produce correct or complete recommendations,
- prevent incidents, outages, or losses,
- satisfy your internal review standards,
- comply with any particular law, regulation, framework, or contractual obligation, or
- produce code or suggestions that are merchantable, fit for a particular purpose, non-infringing, error-free, or secure.
5. Acceptable Use
You may use the Services only in compliance with applicable law and only with respect to repositories, systems, code, and materials that you own or have permission to analyze and process.
You may not use the Services:
- to violate law or the rights of others;
- to process materials where you do not have sufficient rights or authorization;
- to attempt unauthorized access to systems, repositories, or data;
- to develop, distribute, or facilitate malware or other malicious code;
- to interfere with or disrupt the Services; or
- in any manner that could create undue security, privacy, or operational risk to Mitari or others.
6. Repository Access and Permissions
You are responsible for configuring and maintaining repository permissions, branch protections, CI/CD controls, approval rules, access tokens, GitHub App permissions, organization settings, and user access associated with your account. Mitari is not responsible for unauthorized access, repository changes, failed checks, deployment issues, or other consequences resulting from your repository configuration, credentials, access permissions, approval rules, automated merge settings, or third-party integrations.
You are responsible for granting the Mitari GitHub App only the repositories and scopes appropriate for your organization, and for revoking access promptly when no longer needed. You will ensure that the individuals you authorize to install, configure, or manage the Mitari GitHub App, API keys, webhooks, or other integrations have authority to do so on behalf of your organization. Mitari may rely on actions taken through your account, installation, or credentials as authorized by you.
7. Your Representations and Warranties
You represent and warrant that:
- you have all rights, permissions, and authority necessary to provide Inputs to the Services and to authorize Mitari to process them;
- your use of the Services and Inputs will not violate any applicable law, contract, confidentiality duty, intellectual property right, or other third-party right;
- you will independently review and test all Outputs before merging, deployment, or use; and
- you will maintain appropriate backup, rollback, review, and approval procedures for your repositories and systems.
8. Ownership
As between you and Mitari, and subject to applicable law:
- you retain ownership of your Inputs; and
- to the extent Mitari generates Outputs specifically for you, Mitari assigns to you any right, title, and interest Mitari may have in those Outputs, excluding any Mitari technology, models, prompts, workflows, templates, systems, aggregated statistics, and other underlying intellectual property.
Mitari retains all rights, title, and interest in and to the Services, including all software, models, algorithms, prompts, interfaces, workflows, documentation, designs, and improvements thereto.
For clarity, Outputs do not include Mitari's pre-existing materials, reusable components, generalized know-how, templates, prompts, workflows, review taxonomies, issue categories, scoring methods, evaluation methods, algorithms, models, user interface, documentation, or other technology, even if such materials are reflected in or used to generate an Output. Nothing in these Terms transfers to you any right, title, or interest in Mitari's underlying intellectual property, and your rights in Outputs are subject to Mitari's continuing ownership of the Services and the Mitari materials used to generate them.
9. Limited License
Subject to these Terms, Mitari grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services solely for your internal business purposes and only in accordance with these Terms.
10. Restrictions
You may not, and may not permit any third party to:
(a) copy, modify, adapt, translate, or create derivative works of the Services;
(b) reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, underlying structure, models, prompts, algorithms, or trade secrets of the Services;
(c) scrape, harvest, extract, or systematically collect data or outputs from the Services other than as expressly enabled by the Services;
(d) use the Services or any outputs, metadata, or observations from the Services to develop, train, fine-tune, or improve a competing product, model, or service; or
(e) publish or disclose any benchmark, test result, or competitive analysis relating to the Services without Mitari's prior written consent.
Competitive Use Restrictions. You may not access or use the Services, Outputs, documentation, reports, product features, workflows, prompts, user interface, benchmarks, performance information, or other Mitari materials to build, train, fine-tune, evaluate, benchmark, test, validate, improve, commercialize, or support any product or service that competes with Mitari or provides automated code review, data science review, machine learning review, model evaluation, code analysis, AI-assisted code generation, AI-assisted code remediation, automated pull request generation, or similar functionality. You may not use the Services to derive, infer, copy, replicate, or approximate Mitari's methods, prompts, workflows, scoring logic, finding taxonomy, review criteria, issue classifications, model behavior, evaluation techniques, or product functionality. Nothing in this section restricts your ordinary internal use of Outputs to review, improve, test, remediate, or document your own repositories, models, data pipelines, analytics code, or software systems, provided you do not use the Services or Outputs to build, improve, evaluate, benchmark, or support a competing product or service.
Anti-Extraction and Abuse. You may not probe, jailbreak, prompt-inject, adversarially test, model-extract, prompt-extract, scrape, systematically query, or otherwise attempt to discover, infer, reproduce, or circumvent Mitari's prompts, workflows, models, classifiers, scoring systems, evaluation logic, review logic, safeguards, security controls, or other non-public technology, except to the extent expressly authorized in writing by Mitari.
11. Feedback
If you provide feedback, suggestions, or ideas regarding the Services, you grant Mitari a perpetual, irrevocable, worldwide, royalty-free right to use and exploit that feedback for any lawful purpose without restriction or compensation to you.
12. Confidentiality
In connection with the Services, Mitari may disclose or make available non-public information, including product functionality, documentation, pricing, security materials, technical information, workflows, prompts, models, evaluation methods, benchmark results, roadmaps, business plans, reports, screenshots, dashboards, and other information that should reasonably be understood to be confidential ("Mitari Confidential Information").
You may use Mitari Confidential Information only to evaluate or use the Services. You may not disclose Mitari Confidential Information to any third party without Mitari's prior written consent, except to your employees, contractors, attorneys, accountants, investors, and advisors who have a need to know and are bound by confidentiality obligations at least as protective as these Terms. You will protect Mitari Confidential Information using at least the same degree of care you use to protect your own confidential information of a similar nature, and in no event less than a reasonable degree of care. The restrictions in this section do not apply to information that is or becomes generally available to the public other than through your act or omission, was independently developed by you without use of or reference to Mitari Confidential Information, or is required to be disclosed by law, provided you give Mitari reasonable prior notice where legally permitted.
13. Privacy and Data Handling
You acknowledge that use of the Services may require Mitari to process Inputs and related repository data in order to provide the Services.
You should not submit sensitive information unless you are comfortable with such submission and have appropriate rights and approvals to do so.
A separate Privacy Policy may describe additional details regarding Mitari's data practices.
14. Data, Training, and Aggregated Data
Aggregated and De-Identified Data. Mitari may collect and use aggregated, anonymized, or de-identified information derived from use of the Services, including usage metrics, performance metrics, issue categories, error rates, review outcomes, product telemetry, and generalized learnings, to operate, improve, secure, support, and develop the Services, provided such information does not identify Customer or disclose Customer's proprietary source code.
Customer Code and Model Training. Mitari will not use Customer's private repository code to train third-party foundation models except with Customer's consent. Mitari may process Inputs, Outputs, logs, metadata, and review artifacts as reasonably necessary to provide, secure, debug, improve, and support the Services, subject to these Terms and any separate written agreement between the parties.
15. Fees, Credits, and Taxes
Fees are due as stated at checkout, in an order form, invoice, plan page, or other written agreement with Mitari. Unless otherwise stated, prepaid credits are non-refundable, non-transferable, have no cash value, and expire 12 months after purchase, except where required by law.
If Mitari permanently discontinues the Services before your prepaid credits expire, Mitari will refund the unused portion of any unexpired prepaid credits, unless otherwise required or prohibited by applicable law.
Credit prices exclude sales tax, use tax, VAT, GST, and other taxes, duties, or governmental assessments, where applicable. You are responsible for all applicable taxes associated with your purchase or use of the Services, other than taxes based on Mitari's net income. Mitari may collect taxes where it determines collection is required or appropriate. Mitari may suspend or terminate access for nonpayment, failed payment, chargebacks, suspected fraud, or abuse of credits.
Credit Usage; Failed Runs. Credits are consumed when a review, scan, file analysis, automated check, Fix PR attempt, or other credit-based operation begins processing, unless otherwise stated at checkout, in the applicable plan, or in a separate written agreement. Credits are not contingent on any particular result, finding, recommendation, fix, pull request, acceptance, merge, deployment, or customer outcome.
If a credit-based operation fails to complete due solely to a Mitari-controlled system error, Mitari may, in its discretion, re-run the operation, restore the applicable credits, or provide another reasonable remedy. Credits will not be restored for failures, errors, or incomplete results caused by customer repository configuration, permissions, branch protections, CI/CD settings, GitHub availability, third-party services, unsupported code, invalid inputs, rate limits, customer actions or inaction, or other factors outside Mitari's reasonable control.
Fix PRs, patches, suggested changes, and other automated remediation outputs are experimental and may fail, be blocked, contain errors, require manual review, or be unavailable for certain repositories, files, languages, or findings. Failure of a Fix PR, patch, suggested change, or automated remediation workflow does not entitle you to a refund or credit restoration for the underlying review, scan, or analysis.
Credit Pricing and Conversion. Mitari may change its pricing, plans, credit packages, credit consumption rules, usage limits, features included in a plan, and the number of credits required for any review, scan, file analysis, Fix PR attempt, API call, automated check, or other operation at any time. Unless otherwise stated by Mitari or agreed in a separate written agreement, such changes apply prospectively and do not entitle you to a refund, credit, or price adjustment for credits previously purchased or consumed.
Credits are a usage measurement within the Services and do not represent a fixed amount of compute, tokens, model usage, processing time, storage, API calls, files, lines of code, pull requests, findings, Fix PRs, or other resources unless expressly stated by Mitari in writing. Mitari may determine and update how credits are calculated, consumed, rounded, or applied based on factors such as file size, repository size, token usage, model usage, analysis depth, retries, feature type, processing complexity, infrastructure costs, or other usage characteristics.
16. Beta and Evaluation Services
Mitari may offer beta, preview, trial, evaluation, experimental, or pre-release features. These features are provided for evaluation only, may be modified or discontinued at any time, may contain errors or defects, and may be subject to additional limits. Unless otherwise agreed in writing, beta and evaluation features are provided without any warranty, SLA, support commitment, indemnity, or obligation to maintain availability.
Mitari may limit, disable, retry, or decline to generate Fix PRs or other automated remediation outputs where Mitari determines that generation is technically infeasible, unsafe, unreliable, unsupported, or likely to create material risk.
17. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." MITARI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, SECURITY, OR THAT THE SERVICES OR OUTPUTS WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
MITARI MAKES NO WARRANTY THAT ANY OUTPUT, INCLUDING ANY CODE REVIEW, COMMENT, PATCH, OR AUTO-GENERATED PULL REQUEST, IS CORRECT, COMPLETE, SAFE TO MERGE, SAFE TO EXECUTE, OR SUITABLE FOR PRODUCTION USE.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MITARI AND ITS AFFILIATES, FOUNDERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS OPPORTUNITY, SECURITY, OR SYSTEM AVAILABILITY, ARISING OUT OF OR RELATING TO THE SERVICES OR OUTPUTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF MITARI AND ITS AFFILIATES, FOUNDERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF:
(A) THE AMOUNT YOU PAID TO MITARI FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
(B) ONE HUNDRED U.S. DOLLARS (US $100).
The limitations of liability in these Terms do not limit Customer's payment obligations, indemnification obligations, or liability arising from misuse of the Services, violation of Mitari's intellectual property rights, breach of confidentiality obligations, or breach of restrictions relating to reverse engineering, scraping, benchmarking, prompt extraction, model extraction, competitive use, or development of competing products.
Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.
19. Indemnification
You will defend, indemnify, and hold harmless Mitari and its affiliates, founders, officers, directors, employees, contractors, agents, licensors, and service providers from and against any and all claims, actions, demands, investigations, liabilities, damages, judgments, settlements, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:
- your use of the Services;
- your Inputs;
- your Outputs;
- your acceptance, merging, deployment, execution, publication, or other use of any Output;
- your repositories, systems, models, products, or services in which any Output is used;
- your violation of these Terms; or
- your violation of any law or third-party right.
For the avoidance of doubt, this indemnity includes claims arising from code defects, regressions, outages, security issues, privacy issues, IP claims relating to your Inputs or your use of Outputs, compliance failures, and harms allegedly caused by your review, approval, merging, deployment, or operational use of Outputs generated or suggested by the Services.
20. Releases
To the maximum extent permitted by law, you release Mitari and its affiliates, founders, officers, directors, employees, contractors, agents, licensors, and service providers from claims, demands, and damages arising out of or related to your use of the Services or Outputs, including your decision to rely on, merge, deploy, or execute any Output.
21. Suspension and Termination
We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms, created risk for Mitari or others, or if continued provision of the Services is no longer commercially or technically feasible.
Upon termination, your right to use the Services will cease immediately. Sections that by their nature should survive termination will survive, including ownership, confidentiality, restrictions, disclaimers, limitations of liability, indemnification, releases, and dispute-related provisions.
22. Modifications
We may update these Terms from time to time. If we do, we will post the updated version and update the Effective Date above. Your continued use of the Services after updated Terms become effective constitutes your acceptance of the updated Terms.
23. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to conflict-of-law principles.
24. Dispute Resolution
Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Washington, and you consent to the personal jurisdiction and venue of those courts.
25. Miscellaneous
These Terms constitute the entire agreement between you and Mitari regarding the Services and supersede any prior or contemporaneous understandings regarding the subject matter herein.
If any provision of these Terms is held unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
Mitari's failure to enforce any provision of these Terms is not a waiver of that provision.
You may not assign these Terms without Mitari's prior written consent. Mitari may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
